These Terms & Conditions (“Terms”) form a binding contract between you (“you,” “your,” “User”) and Omnithrive Technologies Private Limited, a company incorporated under the Companies Act, 2013 (CIN: U62099KA2024PTC191540; PAN: AAECO4613L) having its registered office at #355, 6th Block, Anjanapura BDA Layout, Anjanapura, Bangalore, Karnataka, India, 560108 (“Meditwin,” “we,” “our,” “us”). By accessing or using the Meditwin website, application, or related services (the “Services”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

  • You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
  • If you create a profile on behalf of a minor or another person (e.g., a family member), you represent that you are the lawful parent, guardian, or duly authorised caregiver, and that you have the right to provide the data being uploaded.
  • Doctors who register on Meditwin must hold a valid medical registration in India and provide accurate professional credentials.

2. Your Meditwin account

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Notify us immediately at support@meditwin.ai if you suspect unauthorised access.
  • You agree to provide accurate, current, and complete information during registration and to keep it updated.
  • We may suspend or terminate your account if you breach these Terms, misuse the Services, or upload content that violates law or third-party rights.

3. Description of the Services

Meditwin is a digital tool that helps you organise your personal and family health records on a visual body-map and timeline, with optional AI-assisted summarisation. The core features include:

  • Upload of medical reports, bills, prescriptions, and images
  • AI extraction of structured findings (test values, dates, severity)
  • Per-body-zone and overall health summaries in English and Hindi
  • Sharing your medical history with clinicians via a secure, consent-based link
  • Family profiles, expense tracking, and notifications

Important: Not a medical service. Meditwin is not a medical practitioner, diagnostic tool, or telemedicine provider. Nothing in the Services constitutes medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for medical questions.

4. Acceptable use

You agree that you will not:

  • Upload records or content that you do not own or are not authorised to share;
  • Use the Services to violate any applicable law or third-party right;
  • Attempt to reverse-engineer, scrape, probe, or otherwise abuse the Services or our infrastructure;
  • Impersonate another person or misrepresent your affiliation;
  • Upload malware, exploit attempts, or content that is unlawful, obscene, defamatory, hateful, or otherwise objectionable;
  • Use automated means (bots, scripts) to access the Services without our written permission;
  • Use the Services for any commercial purpose other than what is expressly permitted by your account type.

5. Charges, credits, and billing

5.1 Credit system

AI-powered features (report analysis, body-zone summaries, overall summaries, AI chat, etc.) consume credits from a per-user balance. Credits are denominated in Indian Rupees (INR), tracked internally in paise.

5.2 How charges are calculated

Each AI request is metered based on actual usage reported by our LLM provider. The user-facing charge is computed as:

                   × USD→INR conversion rate
                   × 100 (rupees → paise)

The 1× markup covers infrastructure, payment processing, engineering, and operational overheads. The USD→INR conversion rate is reviewed periodically and may be updated; we do not guarantee parity with any specific market exchange rate.

Cached summaries are returned without consuming credits. When the underlying data (e.g., a new uploaded report) changes, the summary is regenerated and consumes credits again.

A line-by-line ledger of all credit movements is visible on the “Credits” page in your account.

5.3 Welcome credit

New accounts receive a one-time welcome credit (currently ₹5) to try AI features. The amount may change from time to time without prior notice. Welcome credits are non-refundable.

5.4 Recharges and payment processing

You may add credits to your balance by paying through Razorpay. Indian users are billed in INR via UPI, cards, or net-banking; international users are billed in INR equivalent via cards. Razorpay's own terms and privacy policy govern the payment transaction. We do not store full card numbers, CVV, or UPI PINs.

5.5 Refunds and chargebacks

Credits, once added to your balance, are generally non-refundable, since they unlock real-time consumption of third-party AI services that we are billed for on a usage basis. In the following exceptional cases we will consider a refund:

  • Duplicate or accidental payment: we will refund duplicate Razorpay charges automatically once we detect them.
  • Service-side failure: if an AI request was charged but our system failed to return a usable result, and no LLM cost was incurred on our side, we will reverse the charge.
  • Closure of account within 7 days: for new accounts that close within 7 days of a recharge and have consumed less than ₹50 worth of credits, we will refund the unused balance on written request.

All refund requests must be raised through support@meditwin.ai within 30 days of the payment. Approved refunds are credited to the original payment instrument within 7–10 business days.

Initiating a chargeback through your bank without first contacting our support team may result in suspension of your account.

5.6 Taxes

All charges are inclusive of applicable Goods and Services Tax (GST) unless stated otherwise. We will issue a GST-compliant invoice on request, provided you submit a valid GSTIN in your profile before the payment.

6. AI accuracy disclaimer

AI-generated summaries, findings, severity classifications, and suggestions are produced by third-party language models. They may be incomplete, inaccurate, or out of date. They are intended to help you navigate and organise your own records, not to replace professional medical judgment. Do not make any medical decision based solely on AI output from Meditwin. Always discuss findings with a qualified clinician.

7. Your data and content

  • You retain ownership of all medical records, files, and content you upload (“User Content”).
  • You grant us a worldwide, royalty-free, non-exclusive licence to host, store, transmit, process, and display your User Content, and to transmit it to our sub-processors (including the LLM provider), solely to provide the Services to you.
  • This licence ends when you delete the content or your account, except for back-ups retained for the periods described in our Privacy Policy.
  • You are responsible for the accuracy and legality of the User Content you upload.

8. Intellectual property in the Services

All intellectual-property rights in the Meditwin software, design, brand, content, and trademarks belong to us or our licensors. You are granted a limited, personal, non-transferable, revocable licence to use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Services without our written consent.

9. Sharing with clinicians

The shared-history feature allows you to grant a doctor read access to specified portions of your records. By using this feature, you authorise us to display your records to the clinician identified in the share. You can revoke access at any time from your account. Information accessed by the clinician before revocation may have been recorded by them outside our system; we are not responsible for the clinician's handling of your data after access.

10. Service availability and changes

We endeavour to keep the Services available 24×7 but do not guarantee uninterrupted access. Planned maintenance, force majeure events, or actions of our sub-processors may cause downtime. We may add, modify, or discontinue features at our discretion. Material changes affecting paid features will be announced reasonably in advance where practicable.

11. Termination

You may delete your account at any time from your Profile page. Upon deletion, your records and personal data will be removed in accordance with our Privacy Policy (Section 9 of that policy). We may terminate or suspend your account immediately if (a) you breach these Terms; (b) your use harms other users, our system, or any third party; (c) we are required to do so by law.

On termination, unused credits expire and are not refundable, subject to Section 5.5.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of AI output, non-infringement, or uninterrupted availability.

13. Limitation of liability

To the maximum extent permitted by law, in no event will Meditwin, its directors, employees, or sub-processors be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages — including loss of profits, loss of data, missed medical opportunities, or business interruption — arising out of or in connection with your use of the Services.

Our total aggregate liability to you for all claims arising in any 12-month period shall not exceed the greater of (a) the amount you paid to Meditwin during the 12 months immediately preceding the event giving rise to the claim, and (b) INR 5,000.

14. Indemnification

You agree to defend, indemnify, and hold harmless Meditwin and its affiliates against any claims, damages, costs, and expenses (including reasonable legal fees) arising from (a) your breach of these Terms; (b) User Content you upload; (c) your violation of any law or third-party right; (d) your misuse of the Services.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of India. Subject to Section 16, the courts at Bengaluru shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Services.

16. Dispute resolution

Before initiating any legal action, you agree to first attempt to resolve any dispute by writing to our Grievance Officer at admin@omnithrivetech.com. If the dispute is not resolved within 30 days, it shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent (or, failing agreement, in accordance with the Act). The seat and venue of arbitration shall be Bengaluru and the language shall be English.

17. Changes to these Terms

We may revise these Terms from time to time. The version number you accepted at signup is stored on your profile; if a new version is published, we will prompt you to re-confirm acceptance. The current version is 2026-05-19. Continued use of the Services after the updated Terms take effect constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Services and may delete your account.

18. Severability and entire agreement

If any provision of these Terms is held unenforceable, the rest shall remain in full force. These Terms, together with our Privacy Policy and any in-product notices, constitute the entire agreement between you and Meditwin regarding the Services.
